董事会群体断裂带与企业并购——基于分类-加工理论视角的研究

从董事会子群体特征的视角出发,基于分类-加工理论,选取2008-2019年间沪深A股上市公司为样本,考察董事会关系型群体断裂带与任务型群体断裂带对企业并购决策以及并购绩效的影响.研究发现:(1)董事会中关系型群体断裂带越强,企业进行并购的可能性越低;董事会中任务型群体断裂带越强,企业进行并购的可能性越高.(2)董事会中关系型群体断裂带越强,企业取得的并购绩效越差;董事会中任务型群体断裂带越强,企业取得的并购绩效越好.(3)董事会成员的平均任期能够减弱董事会关系型群体断裂带对企业并购决策以及并购绩效的消极影响,并减弱任务型群体断裂带对企业并购决策以及并购绩效的积极影响.(4)行业竞争程度能够弱化董事会关系型群体断裂带对企业并购决策以及并购绩效的消极影响,增强董事会任务型群体断裂带对企业并购决策以及并购绩效的积极影响.
The Board Fault Line and Corporate M&A:The Research Based on Categorization-Elaboration Model
This paper investigates the influence of relationship-related faultline and task-related fault-line of board on corporate M&A decision-making and M&A performance based on the categorization-e-laboration model from the perspective of sub-group of the board.We choose Shanghai and Shenzhen A-share listed companies from 2008 to 2019 as samples and find that:(1)The stronger the relationship-relat-ed faultline of board,the lower the possibility of M&A;The stronger the task-related faultline of board,the higher the possibility of M&A.(2)The stronger the relationship-related faultline of board,the worse the M&A performance of enterprises;The stronger the task-related faultline of board,the better the M&A performance of enterprises.(3)The average tenure of board members can weaken the negative impact of the relationship-related faultline of board on M&A decision-making and M&A performance,and enhance the positive impact of the task-related faultline of board on M&A decision-making and M&A performance(4)The degree of industry competition can weaken the negative impact of the relationship-related faultline of board on M&A decision-making and M&A performance,and enhance the positive impact of the task-related faultline of board on M&A decision-making and M&A performance.
