新时代国企治理的法治回应与模式重构——以《公司法》修订为例

国有企业是推进中国式现代化治理的物质基础和政治基础,法治是推进国有企业高质量发展的制度保障,法治与国企治理间蕴藏着深厚的内生关系,决定法治必须作为中国式国企治理现代化的题中之义.2023 年,《公司法(修订草案第三次审议稿)》公开征求意见,回顾与反思现行国企法治体系具有重要的理论与实践意义.本文从三部分递进式梳理国企治理法治化基本内容,从突出法治顶层设计的角度,注重吸纳四轮国企改革实践成果,推进构建与中国特色现代企业制度相称的国企法治模式,推动新时代国企改革在法治化轨道上良性运行.
Abstract
There is a profound relationship between the rule of law and the governance of Chinese state-owned enterprises.The latter serves as a material and political foundation for promoting Chinese modernization of governance,while the former provides institutional guarantee for high-quality development of those enterprises.As draft revision to Company Law canbe further reviewed in 2023,it is of great theoretical and practical signifi-cance to reflect on the current legal system of state-owned enterprises.Legalization of the governance of state-owned enterprises canbe discussed in three parts.The present study puts emphasis on the integration of practical achievements of four rounds reform of state-owned enterprise,and promotes positive outcomes of the state-owned enterprises reform in the new era by constructing the model of legal governance of state-owned enterpri-ses commensurate with modern enterprise system with Chinese characteristics.
