我国内外资企业法的重构问题探究
On the reconstructing of internal and external Investment Enterprise Law

摘要
《外国企业或者个人在中国境内设立合伙企业管理办法》从2010年3月起施行,对我国内外资企业法重构问题的热议再次兴起。现行内外资企业法存在内容重复、不够协调、不符合国民待遇原则等不足,有必要探究内外资企业法的重构方案。我国合伙企业的相关立法已经基本实现了内外并轨,公司的相关立法内外并轨条件也较成熟。可以将我国现行外商投资企业法中关于企业组织法的内容纳入三个国内企业法中,再针对外商投资的特殊性制定配套的实施细则或办法,实现企业法的内外并轨制。
Abstract
Measures for Administration of Establishment of Partnership Enterprise by Foreign Enterprises or Individuals within China take effect on March 2010,and the reconstructing of internal and external investment enterprise law becomes the hot topic.The active law still exist some shortcomings,such as overlaps,insufficient,and inconsistent with principles of MFN treatment,so it is necessary to research its reconstructing.For Chinese partnership enterprise,the laws have achieved the combination between domestic and foreign;for company,the conditions are ripe enough.We can bring the Enterprises Organization Laws for the Law of Foreign Investment Enterprises of China into the three enterprises laws of China,make the matching detailed rules and method for the specialization of foreign investment,to realize the combination of enterprises laws between domestic and foreign.
