摘要
美国著名合同法学者科宾（Corbin）的第三人合同权利制度是对合同法理论的重大改革，推进了司法制度的重大进步。与之形成鲜明对比的是，我国《合同法》对第三人权利制度规定得过于简单。对科宾的第三人合同权利制度作初步解读，通过介绍其制度的主要内容，分析其功能，说明在我国引入该制度的必要性，并提出立法建议，希望对我国将来的法律能有借鉴作用。
Abstract
American famous contract law scholar Corbin＇s contractual rights system is an important reform for contract law theory, it has been a significant progress in the justice system. However, there are many enterprises that the Chinese contract law about it is very simple. The author make an explanation for Corbin＇s contractual rights system, describes the necessity of introducing this system to our country from in- troducing its main contact and function, make recommendations for legislative, hope we can to accept this law critically.
