我国现行债券受托管理人任职资格范围非常宽泛,是导致债券受托管理人制度实施效果不佳的重要原因之一,应当引入利益冲突标准对债券受托管理人的任职资格进行限缩.坚持维护债券持有人利益的最终目标,通过区分重大利益冲突和一般利益冲突,即严重利益冲突者严格禁止担任债券受托管理人,一般利益冲突者则可以在债券违约发生后采取消除利益冲突或更换债券受托管理人的补救措施.此外,还需配套调整债券受托管理人的报酬制度和激励制度,保障债券受托管理人的独立性,充分发挥债券持有人会议的监督功能,促使该制度真正落到实处.
Bond Trustee Qualification Review
The current bond trustee's qualification range is very broad,which is one of the important reasons for the poor implementation of the bond trustee system.The conflict of interest standard should be introduced to limit the qualification of bond trustee.Adhere to the ultimate goal of protecting the interests of bond holders by distinguishing between major conflicts of interest and general conflicts of interest,that is,major conflicts of interest are strictly prohibited from serving as bond trustees,and general conflicts of interest can take remedial measures to eliminate conflicts of interest or replace bond trustees after a bond default.In addition,the reward system and incentive system of the bond trustee should be adjusted to ensure the independence of the bond trustee,and the supervision function of the bondholders'meeting shall be fully exercise to promote the system to be truly implemented.
