应收账款上质权延伸的一般原则与例外情形

摘要
基于当事人的意思自治、各方当事人之间的利益观照与比较法的经验等因素,自动延伸应当成为质权覆盖应收账款上担保权益的一般原则.对于质权人并不存在值得保护的信赖的特殊情形,比如应收账款出质后新设立的担保权益、保证等情形,则应当限制一般原则的适用.
Abstract
Based on factors such as party autonomy,balancing of interests among parties and the experience of comparative law,automatic extension should be the general principle for extending pledge rights to cover security interests in accounts receivable.However,applying the general principle should be restricted in special cases where the pledgee does not have a credible trust to protect,such as new security interests or guarantees established after the pledge of accounts receivable.
