经营者集中剥离买方审查前置程序探析

摘要
从经营者集中剥离买方审查前置程序的适用规则入手,分析剥离买方审查前置程序有效性的基础,提出我国可引入剥离买方审查前置程序,并建议从明确程序的适用范围、调整程序的适用规则以及适应中国的执法特点等方面加以改进.
Abstract
Starting from the applicable rules of the pre-examination procedure for divestiture buyers in merger control,the paper analyses the basis for the effectiveness of the pre-examination procedure for divestiture buyers and proposes that the pre-examination procedure for divestiture buyers in China should be introduced and improved in terms of clarifying the scope of application of the procedure,adjusting the applicable rules of the procedure and adapting to the law enforcement characteristics of China.
