论企业数据资产产权的初始取得、流通与保护

企业数据资产的产权困境本质上源于其不同于传统资产的财产权利特点,存在数据资产产权结构复杂不能适用所有权确权规则,数据资产流通逻辑、与客体的关系和产权预期等与传统资产完全不同,传统物权和知识产权保护路径对数据资产失灵等问题.需要重新探索企业数据资产产权理论,首先明确企业数据资产产权初始界定与产权实施的关系,产权初始界定可从主体激励、流通促进、权利保护等方面影响产权实施的效果.然后从理论角度阐释清楚产权初始界定给有能力保障数据来源合规、数据合理利用和数据资产安全的主体,初始产权是以控制权为核心的"权利束",在此基础上提出产权控制义务、流通规则和保护路径等产权实施的理念与原则.在新的产权理论指导之下,探索出一条包括产权初始取得、产权流通制度和产权登记制度在内的数据资产产权制度的路径.
Abstract
The property dilemma of data assets is essentially derived from the characteristics of the property rights that data assets are different from traditional assets.There are several problems such as the complex structure of data asset property rights inapplicable to every ownership confirmation rule,the circulation logic of data assets,the relationship with objects and property rights expectations that are completely different from traditional assets,and the failure of traditional property rights and intellectual property protection paths to data assets.It is necessary to re-explore the theory of data asset rights.First,to clarify the relationship between the initial definition of property rights and the implementation of property rights.The initial definition of property rights can affect the implementation of property rights implementation from the aspects of subject incentives,circulation promotion,and rights protection.Second,from the theoretical perspective,the initial definition of property rights is clearly defined to the subjects who have the ability to ensure the compliance of data sources,the reasonable use of data and the security of data assets,and the initial property rights are based on the control rights as the core"rights bundle",on the basis of which the concepts and principles of property rights implementation such as property rights control obligations,circulation rules and protection paths are proposed.Under the guidance of new property rights theory,we can explore a path of data asset property rights system,including the initial acquisition of property rights,the property rights circulation,and the property rights registration system.
