数据"不适格"对数据交易合同效力的影响

[目的/意义]数据交易作为数据产业发展的重要组成部分,它的场内交易和场外交易的体量发展迅速,亟需进行数据安全治理.[方法/过程]讨论数据"不适格"的数据非法出境、交易原始数据、数据来源不合法和数据内容不合法等不适宜作为数据交易标的的情形,即数据"不适格"等影响数据交易安全的情形和所对应的数据交易合同的效力.[结果/结论]进行数据出境安全评估而未评估的数据,以其为标的的交易合同无效.在交易原始数据、数据来源非法的情况下,区分合同本身的行为和合同的履行行为,当其为合同本身的行为时,合同无效.在数据内容非法的情况下,涉及交易国家公共安全、个人隐私的合同无效,涉及交易商业秘密的合同有效.
Abstract
[Purpose/Significance]As an important part of the development of the data industry,the volume of on-exchange and off-exchange transactions is developing rapidly,and there is an urgent need for data security governance.[Method/Process]Discussed data"ineligibility"situations:illegal exit of data,raw data for transactions,illegal source of data,illegal content of data,etc.,which are not suitable as the subject of data transactions,i.e.,data"ineligibility"and other situations affecting the security of data transactions,and the validity of the data transaction contracts to which they correspond.[Results/Conclusion]Data that should have been subject to data exit security assessment but were not assessed are invalid as the subject of the data transaction contract.In the case of transaction of raw data,where the source of the data is illegal,it is necessary to distinguish between the act of the contract itself and the act of performance of the contract,and when it is the act of the contract itself,the contract is invalid.In the case of illegal data content,the contract is invalid when it involves the transaction of national public security and personal privacy,and the contract is valid when it involves the transaction of commercial secrets.
