改善营商环境背景下中小微企业破产程序构建问题研究

摘要
我国应当借鉴世界银行营商环境成熟度评价体系构建专门的中小微企业破产程序.该程序应当将中型企业、合伙企业、个人独资企业和个体工商户一并纳入调整范围.同时,该程序要充分考虑降低中小微企业破产成本和节省破产用时问题.为此,应当增加规定债务人参与与留任、出资人权益保留、公职管理人、重整计划草案表决视同同意机制及法院强制裁定批准重整计划草案机制和程序转换机制,并对重整计划草案执行期限加以限制.
Abstract
China should learn from the World Bank's business environment maturity evaluation system to construct a special bankruptcy procedure for small,medium and micro enterprises.The procedure shall include medium-sized enterprises,partnership enterprises,sole proprietorship enterprises and individual industrial and commercial households in the scope of adjustment.The procedure should also fully consider the reduction of the bankruptcy cost and save the bankruptcy time.So,such rules should be stipulated as the participation and the retention of the debtor,the reservation of the rights and interests of the investor,the public employment manager and deemed consent mechanism on the draft reorganization plan voting and the court compulsory approval mechanism for the draft reorganization plan,procedure conversion mechanism,and limitation on the implementation period of the draft reorganization plan.
