我国农民专业合作社“一人一票”制探讨与重构

摘要
“一人一票”是合作社成员民主管理的鲜明特征,其初衷是保护农业生产者的个体利益,目的是防止资本集中损害民主;但合作社发展到今天,“一人一票”制初衷的优势正在逐渐消退,出现了成员“尽可能减少资本投入”等局限性.根据美国立法与判例对“一人一票”制解析,得出以下启示:“一人一票制”不是法律的强制规定.在此基础上,提出了农民专业合作社“一人一票”民主管理制的重构设想:以“一人一票”为原则是保证合作社的民主基础;限制增加“一股一票”方式以平衡社员的权利责任关系;适度容许“一人零票”存在以解决合作社筹资难题.
Abstract
"One Person One Vote" system is the distinctive feature of democratic management of cooperative members,the original intention is to protect the individual interests of agricultural producers;but now,the advantages of the original intention is gradually dissipated,and there are some members to reduce capital investment as much as possible.Through analysis according to American legislation and legal precedent,following revelations were obtained:the system is not a mandatory requirement of law;voting rights are not the necessary criteria for theorganization members.On the basis of this,reconstruction of "One Person One Vote" democratic management system for farmers' professional cooperatives was proposed:the principle of "One Person One Vote" is to ensure the democratic foundation of the cooperatives;restrict the increase of "One Share One Vote" mode in order to balance the rights and responsibilities of members;moderately tolerate "One Person Zero Vote" to slove the problem of financing.
