摘要
跨国并购是一种展现实力,实现资源优化配置的商业行为.近年来我国跨国并购案例不断增多,逐渐形成了并购小热潮.文章介绍了跨国并购和财务风险相关理论以及首旅酒店并购如家酒店的背景、动因及过程,运用层次分析法分析该案例中存在的财务风险,从融资渠道和结构、利率定价机制、预算管理、跨文化沟通等方面提出相关财务风险防范对策,以期为首旅酒店以及类似酒店企业提供参考.
Abstract
Cross border mergers and acquisitions are a business behavior that showcases strength and optimizes resource allocation.In recent years,the number of cross-border mergers and acquisitions in China has been increas-ing,gradually forming a small wave of mergers and acquisitions.This paper introduces relevant theories of cross-border mergers and acquisitions and financial risks,as well as the background,motives,and process of BTG Hotel's merger and acquisition of Home Inn Hotel,and applying Analytical Hierarchy Process to analyze financial risks ex-isting in this case,puts forward preventive measures for relevant financial risks in such aspects as financing chan-nels and structures,mechanisms of interest rate pricing,budget management,and intercultural communication,with a view to providing references for BTG Hotels and similar hotel enterprises.
