Corporate Law in the Age of Digital Economy:Changes,Crises and Responses
In the era of digital economy,the development of companies has derived new governance fea-tures.In this context,the"Company law"is facing a new crisis.In order to solve the dilemma of"Com-pany Law",we should first set out from the background,expound the changes of modern corporate governance model;This paper discusses the reasons behind the crisis of corporate governance again,and finally puts forward a solution-"Company law"to the crisis.The corporate governance in the era of digital economy presents new features in the aspects of control right,revenue right and corporate man-agement structure.At present,the main crisis of"Company Law"is the lack of incentive mechanism for the founder and the actual controller of the company and the defects of the system in the corporate governance process.Therefore,the"Company law"in the era of digital economy should change its thinking and propose solutions,that is to update and improve the"Company law"of the fiduciary duty system,guide the company to assume social responsibility,play a multi-board of directors decision-making power,in order to deal with the crisis.
