企业破产中不当关联债权劣后清偿之正当性分析

摘要
建立不当关联债权劣后清偿制度,有利于构建完整的破产债权体系,提高市场退出机制效能.2018 年发布的《全国法院破产审判工作会议纪要》中曾提及该制度,但适用效果不佳.究其原因,是对该制度的理论研究聚焦于构成要件本土化,就正当性这一"元问题"缺乏全面分析.具体而言,应当基于目的解释、法律漏洞填补和可行性三个角度分析正当性:目的解释方面,需符合公平、效率和预期价值;法律漏洞填补方面,应充分考察现有制度,即撤销、无效、法人格否认以及实质合并制度在解决不当关联债权问题上的表现;可行性方面,则应综合域外经验和国内多方主体的探索情况,衡量可操作性.据此,应当将不当关联债权劣后清偿制度体现在企业破产法中.
Abstract
It is beneficial to build a complete system of bankrupt creditors'rights and improve the efficiency of market with-drawal mechanism when the post-default liquidation system of improperly related creditors'rights is set up.The post-default liq-uidation,mentioned in Summary of The National Court Bankruptcy Trial Conference in 2018,is not effective.The reason is that the theoretical study of the system focuses on the localization of constituent elements and lacks a comprehensive analysis of the"meta-problem"of legitimacy.Specifically,justification should be analyzed from such perspectives as purpose interpretation,filling of legal gaps and feasibility.Purpose interpretation should be consistent with fairness,efficiency and expected values.In terms of filling of legal gaps,we should fully study the performance of current systems,namely the system of cancellation,invalidity,denial of legal personality and substantive merger in solving problems of improperly related claims.In terms of feasibility,explorations by various players at home and experience abroad should be fully considered.Therefore,the post-default liquidation system of im-properly related creditors'rights should be included in the corporate bankruptcy law.
