As a system introduced by the"New Company Law",the shareholder disempowerment system is necessary to be distinguished from the shareholder expulsion system,and its research value should not be denied as these two systems are considered to be of a certain degree of similarity.This article discusses and analyzes scope of application,applied procedures and legal effects of the shareholder disempowerment system.Based on the legal foundation of our country's corporate law system,this article tries to appropriately transplant relevant systems in German law.This article also analyzes current institutional dilemmas based on the identification of relevant contents of the system in practical cases and many opinions of scholars on the system,thus proposing corresponding solutions.
