系统思维下独立董事群体人员选拔评价研究

独立董事常常被贴上"花瓶董事"的标签,并未发挥应有的作用和价值.为了选拔合适的独立董事人员,本文在系统考虑独立董事优点和弱点的基础上,以其有效履职为导向,构建专业知识、任职能力、工作技能、社会影响力、独立判断和个人品质评价指标体系.随后以系统思维和优势理论为基础,设计独立董事群体人员选拔评价方法,包括人员特征识别、群体聚类和优势匹配选拔.最后以协鑫集团为例,对其候选人员进行验证.据此,从发挥个体长项、规避弱项方面给出管理启示.
Research on the Selection and Evaluation of Independent Directors from the Systematic Thinking
Independent directors are often labeled as"vase directors",which do not play their due role and value.In order to select suitable independent directors,based on the systematic consideration of the advantages and disadvantages of independent directors,the paper constructs the evaluation index sys-tem of professional knowledge,competence,work skills,social influence,independent judgment and personal quality,guided by their effective performance.Then on the basis of systematic thinking and ad-vantage theory,the paper designs the selection and evaluation methods of independent directors,inclu-ding personnel feature recognition,group clustering and advantage matching selection.Finally,the paper takes GCL group as an example to verify its candidates.According to the analysis,the management en-lightenment is given from the aspects of giving full play to individual strengths and avoiding weaknesses.
