浅析房地产企业破产重整机制的思维创新

摘要
为了解决房地产企业破产重整期间"重整价值资产利用困难""债权人权益保护缺失""跨区府院联动协调困难"等难题,浦口法院及管理人采用重整机制的多元化创新思维推动了惠通系公司的合并重整.惠通系公司的合并重整昭示着当前我国房地产企业的破产重整应回归到传统重整机制的实务创新,以重整模式的选择、债权人利益的保护细节以及府院联动的具体形式为思维创新的落脚点,发力重整机制的个案创新,以期推动房地产企业的债权高效受偿和重整溢价的实现.
Abstract
In order to solve the problems such as"difficulty in using the restructured value as-sets","lack of protection of creditors'rights and interests"and"difficulty in cross regional gov-ernment court linkage coordination"during the bankruptcy and reorganization of real estate en-terprises,Pukou court and the administrator adopted the diversified innovative thinking of reor-ganization mechanism to promote the merger and reorganization of Huitong company.The merg-er and reorganization of Huitong company indicates that the current bankruptcy reorganization of China's real estate enterprises should return to the practical innovation of the traditional reor-ganization mechanism.Taking the choice of reorganization mode,the details of the protection of creditors'interests and the specific form of government court linkage as the foothold of thinking innovation,we should make efforts to innovate the case of the reorganization mechanism,in or-der to promote the efficient repayment of real estate enterprises'claims and the realization of re-organization premium.
