股权属于财产性利益,股权并不是抽象的公司财产,股权的财产属性体现为股东的盈余分配权及股权转让权.财产性利益的占有方式体现为对权力的实际行使和支配,股权的占有方式体现为实际行使具有财产属性的股东权利,股东凭借股东名册的记载和登记机关登记行使股东权利并排他性地实现股权的占有.变更股东工商登记的行为是股权的转移占有行为,但只有在公司内部完全排除股东行使股东权利才是股权占有转移的完成.
Abstract
Shareholdings belong to the property interests,and are not the abstract corporate property,while the property attrib-utes of shareholdings find expression in the shareholders'right to the distribution of surplus profit and the transfer rights of share-holdings.The possession of property interests is reflected in the actual exercise of power and domination.The possession of shareholdings is reflected in the actual exercise of the shareholders'rights with property attributes,shareholders with their re-cords in the roster and business registration exercise their rights and exclusively realize their possession of shareholdings.The act of changing the shareholder's industrial and commercial registration is the transfer of the possession of shareholdings,but only when the company has completely excluded the shareholders from exercising their rights has the transfer of the possession of shareholdings been completed.
