有限公司股权质权人保护的双阶构造模式

摘要
有限公司股权质押是活化股权资源、拓宽各方融资渠道、彰显股权财产性价值的关键机制.质权人权益的保障是确保该机制充分发挥作用的前提.股权的特殊性表明,质权人利益的保护既需考虑质押的特殊性及事后救济这类后端构造的作用,还应考虑公司治理的影响及事前预防这类前端构造的功能.但当前的制度设计局限于后端构造,忽视了前端构造的作用.借《公司法>>修改之契机,未来的制度设计应在已有制度基础上,尝试强化质权人对股权价值变动的感知能力及对价值骤降的预防能力,以补足前端构造之缺憾.在制度设计上,应当从赋予质权人获取股权价值变动有关的公司内部信息权、监督出质股东行权的权利,以及建构质押股权价值缓冲机制等方面充实现有制度,使股权质押制度发挥积极的作用.
Abstract
The limited liability company's equity pledge is a significant system to activate equity re-sources,broaden financial channels for all parties and unleash the equity's full potential property val-ue.The protection of the pledgee's rights and interests is a prerequisite for ensuring that the system can fully function.The particularity of equity indicates that the protection of the pledgee's interests should consider the particularity of the pledge and the role of back-end structures such as ex-post relief,as well as the im-pact of corporate governance and the function of front-end structures such as ex-ante prevention.However,the current institutions are limited to the back-end structure and ignored the significant role of the front-end structure.Taking the opportunity of amending the Company Law,future institutional design should be based on existing systems and try to strengthen the pledgee's ability to perceive changes of the equity value and to prevent sudden drops of the pledge value.In terms of system design,the existing system should be enriched from several aspects,such as giving the pledgee the right to obtain the internal information of the relevant company with the change of equity value,supervising the pledged shareholder's right exercise,constructing the buffer mechanism of equity value etc.,so as to make the equity pledge system play a posi-tive role.
